Registering a business in Seychelles

The first step required in order for you to engage in any business activity is to register your business with Registration Division as stated by the Companies Act 1972, and to have the appropriate license. The license is issued by the Seychelles Licensing Authority (SLA), as stated by the Licenses Act 2010.

Exceptions to registering with the Registration Division
 

• Agriculture business projects or one operating in the agriculture sector, excluding livestock business projects, does not require a license to operate, but should register with the Seychelles Agricultural Agency. More information can be obtained on their website www.saa.gov.sc

• Foreign vessels should register with the Seychelles Maritime Safety Authority. More information can be obtained on their website www.seymaritimesafety.com

• Fishermen are activities related to fisheries business projects should register with the Seychelles Fishing Authority. More information can be obtained on their website www.sfa.sc

Steps to follow to register your business

The following are the steps to follow when getting started with registering your business:

o Go to the Case Officer at the Registration Office

o Collect a BUSINESS REGISTRATION NAME form at the counter

Fill in form and submit. You do not need any additional documents to submit this form

o Pay applicable fees at the cashier's

o Present your payment receipt within 1-2 days after receipt of call to inform you that there is no other business name of that type hence your business name is unique and has been approved.

o After receiving the Certificate of Registration from the Registry Division, go to Seychelles Revenue Commission and fill in the form to register for a Tax Identification Number (TIN)

o Upon receipt of a TIN you are now a registered business tax payer

The following are the institutions which will aid you as you go about setting up your business:

a) Registry Division

The business registration number is a 6-digit number (Example: 100001) on the Certificate of Registration when you register your business name at the Registrar. If the BRN is less than 6 digits, contact the Registrar to get your 6-digit BRN.


b) Seychelles Investment Board

Aside from the name Registrar which registers business, the Seychelles Investment Board is the body which guides new businessmen and women with regard to setting up their businesses.

Established in July 2004, SIB's role is to promote and facilitate local and foreign investments and contribute towards economic growth. The Board’s team of professionals can guide a potential investor through the process of establishing a business in Seychelles from start to finish. The main activities of the Board include;

  • Promotion of Seychelles’ investment opportunities, business climate and environment
  • Undertake investment, trade missions and road shows
  • Provide market intelligence, market opportunities and information on costs of doing business
  • Partner identification and business match making
  • Pre-investment counselling and guidance on existing policies and regulations
  • Organize concept presentation meetings
  • Coordinate visits and discussions between investors, public agencies and stakeholders
  • Aid with obtaining clearances from relevant authorities, required work permits and licenses
  • Provision of advisory and post investment support services to facilitate the realization of re-investments

c) Enterprise Seychelles Agency

Enterprise Seychelles Agency provides business development services that improve the performance of micro, small and medium enterprises, enabling access to markets and enhancing the ability to compete.

o “Micro Enterprise” means an enterprise which has an annual sales turnover not more than two million Seychelles Rupees and not more than 5 employees;

o “Craftwork” means a product made mainly by hand with or without the use of tools operated directly by the crafts person;

o Small Enterprise” means an enterprise which has an annual sales turnover above two million Seychelles Rupees, but not more than 10 million Seychelles Rupees and not more than 15 employees;

o “Start-up enterprise” means any entrepreneurship venture up to one year from its inception; and

o “Medium Enterprise” means an enterprise which has an annual sales turnover above 10 million Seychelles Rupees, but not exceeding 25 million Seychelles Rupees and not exceeding 50 employees.
