The formalities to be completed to create a company in the DRC

These are both all the documents that the business creator must provide to the general management of the one-stop shop for the creation of his business and those that will be delivered to him in return. These documents differ depending on whether it is a legal person or a natural person.

The single form is available free of charge at the Guichet Unique de Création d'Entreprise. It can also be downloaded from the guce@guichetunique.cd site.

After a maximum of 3 days, the following documents are delivered to the applicant:

  • Trade and real estate credit register
  • National ID
  • tax number
  • A license to carry out the activities,
  • An INSS number,
  • An INPP number
  • Tax number
  • Onem certificate
  • Environment acknowledgment

How to start a business

The entire business creation process is now only completed at the One-Stop Shop for Business Creation within a maximum of 3 days. This new system has been in place since 2012 in order to reduce file processing times and limit the number of documents to be provided.

The choice of legal status

The law in force regarding the creation of businesses in the DRC is the OHADA code which recognizes three categories of businesses, namely: commercial businesses, personal businesses and non-profit associations.

By creating a commercial enterprise, the entrepreneur chooses to carry out his activities under the cover of a legal person distinct from his natural person. This category of business allows him to protect his personal assets but also to protect himself from possible consequences of the liquidation of his business. Congolese law recognizes 5 types of commercial companies:

  • General partnerships (SNC),
  • Simple limited partnerships (SCS),
  • Private limited liability companies (SPRL),
  • Limited liability joint stock companies (SARL),
  • Cooperative Societies (SC).

The constituent elements of the file for the creation of a natural person

The natural person commonly called quotEstablishmentquot: it is when a natural person operates alone, without a partner, a specific economic activity covered by registration in the Trade and Personal Property Credit Register (RCCM).

the following items must be provided:

  • A duly completed business creation application form,
  • A residence permit or a visa (for foreigners),
  • A title deed or lease agreement,
  • A document indicating the following information:
    • The name of the establishment,
    • The address of the establishment's head office,
    • The nature of the activities,
  • Photocopy of a valid identity document (passport or voter card)
  • Fees to pay 30$+12500CDF
