Registration of a company in Madagascar

A formalized business opens its doors to its development and avoids the sanctions posed by the Malagasy administration against the informal sector. The formalization of a company allows it to benefit from the tools put in place by the Malagasy government for the support, accompaniment and development of companies in Madagascar.

The Economic Development Board of Madagascar (EDBM) is the official Agency for the promotion of investments in Madagascar, it is the body centralizing the formalities of companies.

How to register your business

The creation of a company is a project that requires preparation, particularly in the gathering of various documents and supporting documents. To set up a business creation project in Madagascar, it is necessary to proceed in stages but it is not always easy to know how to go about it and where to start.

What is a trading company?
In order to be able to be called a '' Commercial Company '', the structure you wish to set up must first meet certain characteristics:

  • Legal person : all commercial companies have legal personality
  • Capital company: a commercial company has share capital made up of contributions (cash, nature, industry) from the partners;
  • Partners/Shareholders : a commercial company brings together partners/shareholders (or a single partner) who shares the share capital in the form of shares or shares;
  • Registration : a commercial company must be registered in the Trade and Companies Register (RCS);
  • Statutes : a commercial company is organized by statutes which define all of its rules and its operation.

A commercial company has either the purpose of carrying out acts of commerce , or a legal structure which makes it possible to organize a professional activity within a specific framework . The commercial company is governed by the Commercial Code which gives a definition according to its commercial activity or according to its legal status deemed commercial (SA, SARL, SNC, SCS, etc.)
